If AGROKING UGANDA LIMITED has posted or provided a translation of the English language version of the Terms, you agree that the translation is provided for convenience only and that the English language version will govern your uses of the Services or the Site by default otherwise you can as well change the language of your own preference through our language translator
AGROKING UGANDA LIMITED may launch, change, upgrade, impose conditions to, suspend, or stop any Services (or any features within the Services) without prior notice except that in case of a fee-based Service, such changes will not substantially adversely affect the Users in enjoying that Service.
USERS GENERALLY

Termination
We may terminate or suspend access to our Service immediately without prior notice or liability for any reason whatsoever including without limitation if you breach the Terms.
All provisions of the Terms which by their nature should survive termination shall include without limitation, ownership provisions, warranty disclaimers, indemnity and limitations of liability.
We may terminate or suspend your account immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms.

Governing Law
These Terms shall be governed and construed in accordance with the laws of Uganda, without regard to its conflict of law provisions.
Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect. These Terms constitute the entire agreement between us regarding our Service and supersede and replace any prior agreements we might have between us regarding the Service.
Changes
We reserve the right at our sole discretion to modify or replace these Terms at any time. If a revision is material, we will try to provide at least 30 days’ notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.
By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, please stop using the Service.
The client mentioned above confirmed as per our discussion that payment of those goods and services herein is available. The payment due date will always be discussed upon by the parties hereon before the measurement of the available goods and services, however instances where the parties disagree on the price and payment due date automatically there will be no business conducted thereafter.
Failure or the likelihood of failure to effect payment of the received goods and services herein a day after the payment due date will ordinary attract a penalty or default fee charge at a fixed rate of 1% per day compounded interest of all amounts in arrears/demanded, thereafter added on to the total sum of shillings demanded (principal) However this does not apply to our partners.
Circumstances where the client exceeds the due date by the maximum number of days in arrears (two weeks i.e. fortnight) such a case will be recorded in the bad debtor’s book of the company for further reference and any further proceeds with such a company, institution or organization in business relations will attract a 100% upfront payment of the total amount upon placing an order.
All costs and expenses whatsoever including legal proceedings costs connected with the recovery/ salvage of or attempted recovery of money owing shall be hereof the client who bought/received goods and services for having defaulted payment by the due date on demand or on a full indemnity basis among others.
Complete failure to make payment of the received goods and services will attract or call for immediate court Proceedings to take place with or without any notice to salvage our payment, however recourse to courts of law hereon costs and expenses incurred thereafter are at your own risk.
An individual of good conduct, cash on delivery across the country with a prepayment of 10% not refundable of the total cost of the product.
The advocates, surveyors, professional advisers of the company in respect of their costs, fees, charges and attendance made, advice given, correspondence written and other work done by such persons or any of them in the court proceedings shall be hereof the client.
Where necessary by the management of the company, a commitment fee with a fixed rate of 50% of the total amount quoted may be required and payable upfront upon placing an order and before the payment due date stated hereafter.
You are advised to present the commodity payment slip receipt when you are picking your cash or money, please endeavor to keep your receipts safer to enable us to effectively and efficiently make payment with ease of the received goods and services.
This transaction is subjected to the terms and conditions covering AGROKING UGANDA LIMITED. Please you are kindly requested to verify the correctness of your cash or money before leaving the payment venue (bank interiors) and the information above in this commodity payment slip receipt hereof as mistakes can be instantly rectified there and then.
You are kindly informed that fire arms, masks, smoking, photography, videography and ensure that your phone is in the salient or vibration mode while inside the payment venue (bank) promises will not be allowed however, risks associated with any of the above mentioned won’t be hereof AGROKING UGANDA LIMITED but rather it will be subjected directly to you as an individual.

NOTICES.
All legal notices or demands to or upon a User shall be effective if either delivered personally, sent by courier, certified mail, by email, provided by the User to AGROKING UGANDA LIMITED, or by posting such notice or demand on an area of the Site that is publicly accessible without a charge.
AGROKING UGANDA LIMITED is able to demonstrate that communication, whether in physical or electronic form, has been sent to such User, or immediately upon AGROKING UGANDA LIMITED posting such notice on an area of the Site that is publicly accessible without charge.
You agree that all agreements, notices, demands, disclosures and other communications that AGROKING UGANDA LIMITED sends to you electronically satisfy the legal requirement that such communication should be in writing.

AGROKING UGANDA LIMITED shall have the right to assign the Terms (including all of us rights, titles, benefits, interests, and obligations and duties in the Terms to any person or entity. You may not assign, in whole or part, the Terms to any person or entity.
If you are from outside of Uganda, the Terms shall be governed by the laws of Uganda without regard to its conflict of law provisions, practices and the parties to the Terms agree to submit to the exclusive jurisdiction of the courts of Uganda. If you are from Uganda, the Terms shall be governed by the laws of the Republic of Uganda without regard to its conflict of law provisions, practices and the parties to the Terms agree to submit to the exclusive jurisdiction of the courts of the Republic of Uganda.

Before using any services provided by AGROKING UGANDA LIMITED on its online market place. you should first be aware and agree to our Privacy Policy and Terms & Conditions. INFRINGEMENT CLAIMS.
All IPR infringement claims are made under penalty of perjury. IPR holders and AGROKING UGANDA LIMITED vendors agree to hold AGROKING UGANDA LIMITED inculpable of all indemnity claims, causes of action, damages and judgments arising out of any removal of product listings resultant of IPR infringement claims.
As a neutral online marketplace providing services to both customers and vendors, AGROKING UGANDA LIMITED does not adjudge conflicting IPR infringement claims. All conflicting claims shall be resolved by the relevant parties separately from AGROKING UGANDA LIMITED and the AGROKING UGANDA LIMITED online market place (www.agrokinguganda.com).
AGROKING UGANDA LIMITED is the sole owner or lawful licensee of all the rights and interests in the Site and the Site Content. The Site and Site Content embody trade secrets and other intellectual property rights protected under worldwide copyright and other laws.
